No two situations are alike. I never start from a template, but from your numbers, your structure and what you want to achieve.
The goal is the solution that fits you, not the one that fits most.
What sets me apart
I understand the numbers, not just the law.
I have several years of experience as an accounting assistant, have carried out capital increases in practice and work closely with auditors. That lets me see both the legal and the accounting side of a matter, and what a solution actually means for the company and its owners.
Advice
Tax planning
I go through the company's finances and ownership structure in detail to find lawful ways for the company and its owners to keep more, without earning a krone more. So far, every company I have helped has saved more than it paid me.
Demergers and mergers
Reorganising companies and groups, tax-neutral where possible. From structure and valuation to plans, board documents and work with the auditor.
Corporate law and transactions
Incorporation, shareholder agreements, capital increases, board work and general meetings. Acquisitions and sales of companies and real estate, with tax considered from the start.
Real estate
Division into units (seksjonering), applications to the municipality for change of use, dispensations and building permits, and buying, selling and letting property. I am a real estate investor myself, with long experience in property development both privately and professionally, and know the processes from the inside.
Employment law
Dismissal cases, consultation meetings, severance packages and negotiations. I act for both employers and employees.
Contract law
Drafting, reviewing and negotiating agreements, such as purchase agreements, cooperation agreements, consultancy agreements and leases.
Typical questions
- Should my shares be held through a holding company before I sell?
- How do I take value out of my company with the least tax?
- What should the shareholder agreement say before we bring in a new investor?
- Can the company be split in two without triggering tax?
- How do we buy a property through a company, and what happens when it is sold?
- How do we end an employment relationship correctly, and what is a fair severance package?

Who I help
Individuals, holding companies and operating companies. Often a matter involves all three at once, and that is where it pays to look at tax, corporate law and contracts together.
How I work
You describe the matter briefly by email. I reply with what the matter really concerns, what I recommend and what the work will cost, before anything starts. You receive a fixed price for the engagement before work starts.
I work with clients across Norway and abroad, and most matters can be handled by email, phone and video. Advice concerns Norwegian law.
About
I am a lawyer specialising in corporate law, transactions and finance, with a doctorate in Corporate Finance & Emerging Technologies. I do my best work where tax, law, economics and technology meet.
I hold a Master of Laws from the University of Oslo. My thesis, Verdifrigjøring uten beskatning (Releasing value without taxation), examines the concept of realisation and the Norwegian anti-avoidance rule in borrowing secured on real estate.
I am a professor at EIMT in Switzerland, teaching at master and doctoral level. Alongside my advisory work I am a real estate investor and entrepreneur, with a long track record in property development, both privately and professionally. I know these decisions from both sides of the table.
I am a lawyer (jurist), not a licensed Norwegian advokat.
